1. Acceptance of Terms

By accessing or using our website and services, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with and be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not use our website or services.

2. Services Provided

Ad Growify provides digital marketing, branding, and growth consulting services, including but not limited to:

• Digital marketing strategy and planning
• Performance advertising on platforms including Facebook, Google, Instagram, and YouTube
• Branding and visual identity development
• Social media management and growth
• Lead generation and conversion rate optimisation
• Search engine optimisation (SEO) and content marketing
• WhatsApp marketing and CRM automation

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Service Agreement or Statement of Work provided to each client.

3. Client Obligations

To enable Ad Growify to deliver services effectively, clients agree to:

• Provide accurate, complete, and timely information required for campaign execution
• Grant necessary access to advertising accounts, analytics platforms, and social accounts
• Review and approve creative assets and strategies within agreed timelines
• Make payments according to the agreed schedule
• Comply with all platform policies (Facebook, Google, etc.) and applicable laws
• Ensure that all brand content, trademarks, and materials provided to Ad Growify are owned by the client or properly licensed

4. Payment Terms

Fees for Ad Growify services are detailed in the individual Service Agreement. Unless otherwise stated:

• Retainer fees are invoiced monthly in advance and are due within 7 days of invoice date
• Project-based fees require a 50% advance payment before commencement of work
• Ad spend is billed separately and is the client's direct responsibility to the respective platforms
• Late payments may attract interest at 1.5% per month on the overdue amount
• Services may be paused or terminated for accounts with outstanding dues beyond 30 days

5. Intellectual Property

5.1 Ownership of Deliverables

Upon receipt of full payment, Ad Growify assigns to the client all intellectual property rights in the final creative deliverables specifically created for that client, including logo designs, brand guidelines, and campaign creatives.

5.2 Ad Growify's Proprietary Materials

Ad Growify retains all intellectual property rights in its proprietary tools, methodologies, frameworks, templates, and processes used in delivering services. Clients are granted a non-exclusive, non-transferable licence to use such materials solely for the purpose of the agreed engagement.

5.3 Platform Assets

Ad accounts, pages, and assets created by Ad Growify on behalf of clients using client information shall remain the property of the client, subject to platform terms of service.

6. Confidentiality

Both parties agree to maintain the confidentiality of the other party's proprietary and confidential information disclosed during the engagement. This obligation shall survive the termination of any service agreement for a period of 2 years.

7. Performance and Results

Ad Growify will apply professional expertise and best practices to deliver high-quality services. However, we do not guarantee specific results, ROI, revenue targets, or rankings, as digital marketing outcomes are influenced by many external factors including platform algorithms, market conditions, competition, and client-side factors beyond our control.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ad Growify's total liability to a client for any claims arising from a service engagement shall not exceed the total fees paid by that client to Ad Growify in the 3 months preceding the claim. Ad Growify shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities.

9. Indemnification

The client agrees to indemnify and hold harmless Ad Growify and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) the client's breach of these Terms; (b) the client's violation of any applicable law or third-party rights; (c) the client's brand content or materials provided to Ad Growify.

10. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant Service Agreement (typically 30 days). Upon termination, the client is responsible for fees accrued up to the termination date. Ad Growify will return client assets and account access upon receipt of all outstanding payments.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Mumbai, Maharashtra, under the Arbitration and Conciliation Act, 1996. The courts of Mumbai shall have exclusive jurisdiction for any legal proceedings.

12. Modifications to Terms

Ad Growify reserves the right to update these Terms at any time. Material changes will be communicated via email or a notice on our website. Continued use of our services after changes constitutes acceptance of the revised Terms.
